Terms of Service

Please read these Terms of Service ("Terms") carefully before using karsenics.com (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

These Terms apply to your use of the karsenics.com marketing and informational website. They do not constitute a service agreement for use of the Karsenics event operations platform. Clients who engage Karsenics to operate their event management infrastructure will enter into a separate Master Service Agreement.

1. About Karsenics

Karsenics, PBC is a Delaware Public Benefit Corporation with its principal place of business in Houston, Texas. We build and license event operations software to nonprofit and civic organizations running parades, festivals, and community events. The platform is provided free of charge to qualifying organizations; revenue is generated from flat per-registration fees paid by exhibitors and parade contingents at checkout.

2. Acceptance of Terms

By accessing the Site, you represent that you are at least 18 years of age, have the legal authority to enter into these Terms, and will use the Site in compliance with all applicable laws and these Terms. If you are accessing the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Permitted Use

The Site is provided for informational purposes: to learn about Karsenics, its products and services, its public benefit mission, and to make contact with us for business inquiries.

You may use the Site only for lawful purposes. You agree not to:

• Use the Site in any way that violates applicable local, state, national, or international law or regulation
• Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, or otherwise objectionable
• Attempt to gain unauthorized access to any portion of the Site or any system or network connected to the Site
• Introduce viruses, malware, or other malicious or technologically harmful code
• Scrape, crawl, or systematically extract data from the Site without our prior written consent
• Use the Site to send unsolicited commercial communications (spam)
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with, disrupt, or overburden the Site or its servers

4. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, software, and the Site's overall design, is the property of Karsenics, PBC or its licensors and is protected by United States and international intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Site's content or the Karsenics name, logo, or trademarks. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any portion of the Site's content without our prior written consent.

You may share links to public pages of the Site for non-commercial informational purposes.

5. Contact Form Submissions

When you submit information through the Site's contact form, you grant Karsenics a non-exclusive, royalty-free license to use that information for the purpose of responding to your inquiry and, subject to your right to opt out, for related marketing communications as described in our Privacy Policy.

You agree not to submit through any form: false or misleading information; content that infringes any third-party intellectual property rights; or any information that you are not authorized to share.

6. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Karsenics does not warrant that: (a) the Site will be uninterrupted, error-free, or secure; (b) any information on the Site is accurate, complete, or current; or (c) the Site will meet your specific requirements or expectations. We reserve the right to modify or discontinue the Site at any time without notice.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KARSENICS, PBC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT.

This includes, without limitation, damages for loss of profits, revenue, data, goodwill, or other intangible losses, even if Karsenics has been advised of the possibility of such damages.

In no event shall Karsenics's total liability to you for all claims arising from your use of the Site exceed one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Karsenics, PBC and its directors, officers, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit through the Site.

9. Third-Party Links and Content

The Site may contain links to third-party websites or services. These links are provided for convenience only. Karsenics does not endorse, control, or take responsibility for the content, privacy practices, or terms of any third-party site or service. Your use of third-party sites is at your own risk and subject to the terms of those sites.

10. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to our collection and use of information as described in the Privacy Policy.

11. Changes to the Site and These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last Updated" date. Material changes will be indicated on the Site. Your continued use of the Site after any change constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, please stop using the Site.

We also reserve the right to change, suspend, or discontinue the Site or any part of it, with or without notice, at any time.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. As a Delaware Public Benefit Corporation, Karsenics is incorporated under Delaware law, and Delaware courts provide an appropriate forum for any disputes.

13. Dispute Resolution

13.1 Informal Resolution First

Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute informally by contacting us at legal@karsenics.com and giving us 30 days to respond and attempt to resolve the matter.

13.2 Binding Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Site shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court.

• Arbitration will be conducted in Harris County, Texas, or remotely by mutual agreement
• Each party shall bear its own costs and attorneys' fees unless the arbitrator awards otherwise
• The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction

13.3 Class Action Waiver

YOU AND KARSENICS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

13.4 Exception: Small Claims Court

Notwithstanding the above, either party may bring an individual claim in small claims court in Harris County, Texas, provided the matter qualifies for and remains in small claims court jurisdiction.

13.5 Injunctive Relief

Nothing in this Section prevents Karsenics from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms continue in full force and effect.

15. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver of any provision will only be effective if made in writing and signed by an authorized representative of Karsenics.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Karsenics regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties with respect to the Site.
